Terms of Service & Conditions of Sale (Draft)

These Terms of Service and Conditions of Sale (the Terms) form a binding agreement between [Company Legal Name] d/b/a renw.shop (Renw, we, us) and you (you or the Customer) governing your access to and use of our website, ecommerce store for restored goods, and our Deal Concierge service (formerly called Personal Deal Scout) (collectively, the Services).

If you do not agree to these Terms, do not use the Services.

1) Key Definitions

  • Store Items: Pre-owned or restored furniture and related goods sold directly by Renw.
  • Deal Concierge (the Concierge Service): A concierge offering where you describe an item, we monitor third-party listings, pre-screen options, and coordinate seller communications and logistics.
  • Success Fee: A fee you pay Renw if you purchase an item presented by Renw through the Scout Service, as detailed in Section 6.
  • Delivery Partner: An independent third-party carrier or mover engaged to transport items.

2) Eligibility; Accounts

You must be at least 18 and capable of entering a binding contract. You are responsible for your account credentials and all activity under your account.

3) Service Overview

3.1 Store Sales (Direct Purchases)

You may purchase Store Items listed on renw.shop. Each item is pre-owned; descriptions and photos aim to reflect condition at the time of listing.

3.2 Deal Concierge (Concierge Service)

You provide item requirements (for example, dimensions, style, budget). Renw then:

  1. Monitors public listings across supported marketplaces;
  2. Pre-screens options for apparent fit, condition, and value;
  3. May contact sellers to confirm details or express your non-binding interest; and
  4. Presents you with options and, if requested, coordinates purchase logistics and delivery quotes.

Limited Agency Authorization. You authorize Renw to communicate with sellers to gather information, express preliminary interest, and coordinate logistics. Renw will not bind you to purchase without your explicit confirmation.

Not a marketplace or escrow. For third-party listings, Renw is not the seller, buyer, agent for payment, or party to the sales contract between you and the third-party seller. Payment for third-party items typically occurs directly between you and the seller. Renw's role is a sourcing/coordination service.

4) Pricing, Taxes, and Availability

  • Store Items: Prices, taxes, fees, and availability are shown at checkout and may change without notice before you place an order. Sales tax is collected where required.
  • Concierge Service: Prices for the underlying third-party item are set by the seller and may change rapidly. We do not guarantee availability, price, condition, or delivery windows of third-party items.

5) Payments & Billing

  • Payment Processor. We use a third-party payment processor (for example, [Stripe/Processor Name]) and do not store full card numbers.
  • Fees. You agree to pay (i) the purchase price of Store Items; (ii) any Success Fee that applies under Section 6; and (iii) optional add-ons (for example, inspection, delivery coordination).
  • Holds/Deposits (optional pilot). If you elect to place a refundable hold to reserve a slot or time window, the terms will be disclosed at checkout. Holds may be forfeited if you cancel late or no-show, as disclosed at purchase.

6) Success Fee (Concierge Service)

A Success Fee is owed to Renw when any of the following occurs (choose the model you intend to pilot and delete the others):

Model A - Success-Only (recommended for pilot):

  • You owe [5-10% of purchase price, capped at $[149-249]] (or $[79-149] flat) only if you purchase an item we presented to you.
  • The fee applies if you purchase the presented item within [30] days after we first notify you of it, even if you contact the seller directly.

Model B - Finder's Pass (hybrid):

  • You pay $[29-49] upfront, credited against a reduced success fee of [4% or $79] upon purchase within [30] days of presentation.

Model C - Subscription:

  • You pay $[15-25]/month for ongoing sourcing plus [discounted success fee] for any purchase within the subscription term.

Avoiding circumvention. You agree not to circumvent the Success Fee by purchasing a presented item off-platform or via a different account. Renw may reasonably request proof of non-purchase if you indicate you did not proceed.

Refunds. Success Fees are non-refundable once the third-party purchase is completed, except where required by law or expressly stated in writing.

7) Delivery; Risk of Loss

  • Store Items: Delivery is available through Delivery Partners at quoted rates. Risk of loss passes to you upon pickup from our facility or delivery to your address, as applicable.
  • Concierge Service Items: Delivery (if any) is provided by independent Delivery Partners. Renw does not assume carrier liabilities; claims for transit damage are handled with the carrier.

8) Conditions, Inspections, and Returns

  • Used condition. All Store Items and sourced third-party items are pre-owned and typically sold “AS IS” with normal wear. We encourage you to review photos, ask questions, and measure access points.
  • Store Items - Returns: [Select one: All sales are final. or Returns accepted within [3] days; item must be in received condition; a [15%] restocking fee and delivery fees may apply.]
  • Third-Party Items - Returns: Returns are governed by the third-party seller's policy, if any. Renw does not provide refunds for third-party items.
  • Optional inspections. You may purchase inspection add-ons (for example, live video, day-of pickup checklist).

9) Acceptable Use

You will not: (a) use the Services for unlawful purposes; (b) misrepresent identity or intentions; (c) attempt to scrape or reverse engineer the site; (d) bypass fee obligations; (e) harass sellers or Delivery Partners; or (f) submit content that is infringing, fraudulent, or harmful.

10) Intellectual Property; User Content

All site content, marks, and designs are owned by Renw or its licensors and protected by law. By submitting reviews, photos, or feedback, you grant Renw a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with the Services (with attribution policies we may set).

11) SMS and Electronic Communications

By providing a phone number, you consent to receive transactional and Service-related SMS messages (for example, alerts for matches, scheduling). Frequency varies. Reply STOP to cancel and HELP for help. Msg & data rates may apply. Marketing SMS requires your separate opt-in where required. Emails are sent under CAN-SPAM and similar laws; you may unsubscribe.

12) Third-Party Marketplaces & Links

We are not affiliated with third-party marketplaces. Their terms apply to your use of those platforms. We are not responsible for their content, availability, or policies.

13) Disclaimers

THE SERVICES (INCLUDING THE SCOUT SERVICE) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee that a particular listing will be available, accurately described by the seller, or sold at a target price.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO RENW IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

Some jurisdictions do not allow certain limitations; those limitations will apply to the fullest extent permitted.

15) Indemnification

You will defend, indemnify, and hold harmless Renw from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your (a) use of the Services; (b) violation of these Terms; (c) interaction with third-party sellers or Delivery Partners; or (d) submitted content.

16) Termination; Suspension

We may suspend or terminate access to the Services at any time with or without cause. You may stop using the Services at any time. Sections that by their nature should survive (fees due, IP, disclaimers, limitations, dispute resolution) will survive termination.

17) Arbitration; Class Waiver; Governing Law (U.S.)

Informal resolution. Contact us first at support@renw.shop.

Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by [AAA/JAMS] under its rules. No class actions or class arbitrations.

Opt-out. You may opt out of arbitration within 30 days of first use by sending written notice to [address/email].

Governing law. These Terms are governed by the laws of [State], excluding its conflict-of-laws rules. Venue for any proceeding not subject to arbitration is the state or federal courts located in [County, State].

18) Changes to the Services or Terms

We may modify the Services or these Terms at any time. Material changes will be posted with a new Effective Date. Continued use after changes means you accept the updated Terms.

19) Miscellaneous

  • Entire Agreement. These Terms (plus any order details and posted policies, including the Privacy Policy) are the entire agreement between you and Renw.
  • Severability. If a provision is unenforceable, the remainder remains in effect.
  • Assignment. You may not assign without our consent; we may assign as part of a corporate transaction.
  • Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
  • Notices. We may send notices by email, SMS, or posting on the site.
